These Terms and Conditions ("Terms") govern your use of SupClub's mobile application, web dashboard, and all related services (the "Service"), operated by Wayrone Enterprises5 SRL (CUI: 51300363, Reg. No: J2025011224003, CAEN: 6210, 6310, 6391), a company registered in Romania ("SupClub", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Definitions
"Service"The SupClub mobile application, web dashboard, APIs, and all related features and functionality.
"User"Any individual who creates an account and uses the Service, whether as a guest ("Guest User") or a venue operator ("Venue Operator").
"Venue Operator"A user who subscribes to a paid plan to manage one or more clubs/venues through the Service.
"Guest User"A user who checks in to a venue event and uses the Service's social, messaging, and interactive features.
"Content"All text, images, messages, polls, song requests, ratings, and other material submitted through the Service.
2. Eligibility
You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
3. Account Registration
- •You must provide accurate and complete information when creating your account.
- •You are responsible for maintaining the confidentiality of your login credentials.
- •You are responsible for all activities that occur under your account.
- •You must notify us immediately if you suspect any unauthorised access to your account.
- •We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
SupClub has a zero-tolerance policy for objectionable content and abusive behaviour. Users who post objectionable content or engage in abusive behaviour will have their content removed and their account terminated. We act on all reports of objectionable content or abusive users within 24 hours.
When using the Service, you agree not to:
- •Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- •Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
- •Harass, bully, stalk, or intimidate other users.
- •Share another person's personal information without their consent.
- •Use the Service for any commercial purpose not authorised by SupClub.
- •Attempt to gain unauthorised access to the Service, other accounts, or any related systems.
- •Upload viruses, malware, or other malicious code.
- •Interfere with or disrupt the integrity or performance of the Service.
- •Use automated systems (bots, scrapers) to access or interact with the Service without prior written permission.
We employ automated and manual content moderation for text and images. Violations will result in immediate content removal and account termination.
5. Venue Operator Terms
5.1 Subscriptions & Payments
- •Venue Operators must subscribe to a paid plan to use venue management features.
- •Plans are billed monthly based on total venue capacity.
- •All payments are processed by Lemon Squeezy, which acts as our Merchant of Record. This means Lemon Squeezy is the legal seller of record for all subscription transactions, and handles payment processing, invoicing, VAT/tax collection, and remittance on our behalf.
- •By subscribing, you also agree to Lemon Squeezy's Terms of Service.
- •All prices are displayed in Euros (EUR). Applicable VAT/taxes are calculated and collected by Lemon Squeezy based on your location.
- •Billing disputes, refund requests, and chargeback inquiries related to payment processing should be directed to Lemon Squeezy through their customer portal or to us at hello@supclub.vip.
5.2 Upgrades & Downgrades
- •You may upgrade or downgrade your plan at any time.
- •Upgrades take effect immediately with prorated billing.
- •Downgrades take effect at the end of the current billing period.
5.3 Cancellation
- •You may cancel your subscription at any time. Access continues until the end of the current billing period.
- •No refunds are provided for partial billing periods.
- •Upon cancellation, your venue data will be deleted. You may request an export of your data in a structured, machine-readable format before cancellation by contacting us at hello@supclub.vip.
5.4 Venue Operator Responsibilities
- •You are responsible for the accuracy of your venue information (name, capacity, menu items, pricing).
- •You are responsible for managing your staff and access codes.
- •You must respond to help/safety requests from guests in a timely manner.
- •You must comply with all applicable local laws and regulations regarding venue operation.
5.5 Data Processing
As a Venue Operator, you will have access to certain Guest User data through the Service, including attendee information, help requests, and aggregated analytics. In this capacity:
- •SupClub acts as the data controller for all personal data collected through the Service. You, the Venue Operator, act as a data processor for any Guest User data you access or download.
- •You may only use Guest User data for the purposes of operating your venue and providing services to your guests. You may not sell, share with third parties, or use this data for marketing purposes unrelated to the specific event.
- •You must implement appropriate security measures to protect any Guest User data you access.
- •You must promptly notify SupClub at hello@supclub.vip if you become aware of any data breach involving Guest User data.
- •Upon termination of your subscription or upon request, you must delete any Guest User data in your possession.
6. Guest User Terms
- •Guest accounts are free. You check in to events using access codes or QR codes provided by the venue.
- •Your profile and activity are visible to other checked-in guests at the same event. You can control who contacts you by using the block feature.
- •You may create or join group chats with a maximum of 50 members per group.
- •You may block other users and report inappropriate behaviour through the help request system.
7. Right of Withdrawal & Contract Information
7.1 Right of Withdrawal (EU Consumers)
Under OUG 34/2014 (transposing EU Directive 2011/83/EU), consumers have a 14-day right to withdraw from distance contracts without giving a reason. The withdrawal period begins on the day the contract is concluded (i.e., account creation).
Waiver for digital services: By creating an account and beginning to use the Service, you expressly consent to the immediate performance of the Service and acknowledge that you lose your right of withdrawal once the Service has been fully performed or, for ongoing services, once you have begun using the Service. This is in accordance with Article 16(m) of OUG 34/2014.
Venue Operator subscriptions (B2B): The right of withdrawal does not apply to contracts concluded for business purposes.
7.2 Contract Formation
In accordance with Romanian Law 365/2002 on electronic commerce:
- •Steps to conclude the contract: (1) Create an account by providing your email and password, (2) accept these Terms via the checkbox, (3) click "Create Account" to submit. The contract is concluded when your account is created.
- •Contract storage: These Terms are stored and accessible at any time at supclub.vip/legal/terms-and-conditions. We recommend saving a copy for your records.
- •Error correction: You may correct input errors (email, password) before submitting the registration form. After account creation, you can update your profile information through the app or web dashboard settings.
- •Languages: These Terms are available in English.
8. Intellectual Property
8.1 Our Intellectual Property
The Service, including its design, code, branding, logos, and all related materials, is the exclusive property of SupClub and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
8.2 Your Content
You retain ownership of the Content you submit. By submitting Content, you grant SupClub a non-exclusive, worldwide, royalty-free licence to use, display, and distribute your Content solely for the purpose of operating and providing the Service.
9. Content Moderation & Reporting
9.1 How We Moderate Content
We use a combination of automated and manual moderation. Profile text, group names, and uploaded images are subject to automated moderation (image moderation is provided by our messaging infrastructure provider). Chat messages are moderated through a user reporting system and manual review by our team. We reserve the right to:
- •Remove or restrict access to Content that violates these Terms or applicable law.
- •Immediately terminate the account of any user who posts objectionable content or engages in abusive behaviour.
- •Cooperate with law enforcement where required by applicable law.
All reports of objectionable content or abusive behaviour are reviewed and acted upon within 24 hours. Action includes removing the offending content and ejecting the user responsible.
9.2 Reporting Illegal Content
In accordance with the EU Digital Services Act (Regulation 2022/2065), any user or third party may report content they believe to be illegal. To submit a report:
- •Use the in-app help request feature to report content, specifying the nature of the issue.
- •Or email hello@supclub.vip with a description of the content, its location (e.g., group name, username), and the reason it is considered illegal.
We will review all reports promptly and take appropriate action.
9.3 Blocking Abusive Users
Users may block any other user at any time through the app. When a user is blocked:
- •All content from the blocked user is immediately removed from the blocking user's view.
- •The blocked user can no longer contact or interact with the blocking user.
- •SupClub is automatically notified of the block so our team can review the blocked user's behaviour and take further action if necessary, including account termination.
9.4 Statement of Reasons
When we restrict or remove Content or suspend an account, we may, at our discretion, provide the affected user with an explanation of the restriction and information about how to contest the decision by contacting us at hello@supclub.vip. We are not obligated to disclose the specific facts or methods relied upon where doing so would compromise platform safety or the integrity of our moderation processes.
10. Disclaimers
To the extent permitted by applicable law, the Service is provided "as is" and "as available". We do not make guarantees that the Service will be uninterrupted, error-free, or entirely secure at all times. We do not guarantee the accuracy, completeness, or reliability of user-generated Content.
SupClub is a technology platform and is not responsible for the conduct of venue operators, staff, or guests. We do not guarantee the safety of any physical venue.
EU consumer rights: Nothing in this section limits your statutory rights as a consumer under EU or Romanian law, including rights under GEO 141/2021 (transposing EU Directive 2019/770) regarding the conformity of digital services. We are obligated to provide a service that conforms to what is described in these Terms, and to supply necessary security and functionality updates throughout the duration of your use.
11. Limitation of Liability
To the fullest extent permitted by applicable law:
- •SupClub shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- •Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
- •Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.
12. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless SupClub, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your Content, or your violation of these Terms. This clause does not apply to the extent that it would be deemed unfair under EU or Romanian consumer protection law (including Law 193/2000).
13. Termination
- •You may terminate your account at any time by deleting it through the app or web dashboard.
- •We may suspend or terminate your access to the Service at any time for violations of these Terms, with or without notice.
- •Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will continue to apply (including Sections 8, 10, 11, 12, and 15).
14. Changes to These Terms
We may modify these Terms at any time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Romania and applicable European Union regulations.
For consumers within the EU, mandatory consumer protection laws of your country of residence shall apply where they provide a higher level of protection.
The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
